Canada Directors’ Residency Requirements for Companies.

Federal(Canada)

Canada Residency Requirement: Yes

At least twenty-five per cent of the directors of a corporation must be resident Canadians. However, if a corporation has less than four directors, at least one director must be a resident Canadian.

Alberta

Canada Residency Requirement: Yes

At least 1/4 of the directors of a corporation must be resident Canadians.

British-Columbia

Canada Residency Requirement: No requirement

Prince Edward Island

Canada Residency Requirement: No requirement

Ontario

Canada Residency Requirement: Yes
At least 25 per cent of the directors of a corporation other than a nonresident corporation shall be resident Canadians, but where a corporation has less than four directors, at least one director shall be a resident Canadian.

Manitoba

Canada Residency Requirement: Yes

At least 25% of a corporation’s directors must be residents of Canada. If a corporation’s board is comprised of three or fewer directors, one of them must be a resident of Canada.

New Brunswick

At least 25% of the directors of a corporation shall be resident Canadians*.
